Scarlett, 24, was allegedly set to star in a new ITV2 series called Fearne and..., which would see presenter Fearne Cotton live with a different celebrity each episode.
It is claimed Fearne would stay with the celebs to build a picture of their work, social and private lives.
ITV's director of digital channels, Zai Bennett, had previously said the show is one of the channel's gems in their autumn schedule.
However an ITV spokesman has now said: "We're sorry that Scarlett Johansson has decided not to take part in the series Fearne and... before filming could commence with her.
"The series will examine the success of a number of high-profile celebrities, and in Scarlett Johansson's case, we had hoped to focus on her career in films and more recently, music.
"We look forward to the new series, which begins in the autumn, and hope to announce the inclusion of another well-known figure in due course."
